Micron and Alliance Relationship Structure

Micron will use Alliance as its outlet to fulfill future legacy Fab-13 NOR Flash demand

Arrangement extends to a defined list of Fab-13 NOR MPNs

Existing Micron NCNR backlog will remain in place and will be fulfilled by Micron

Micron direct customers/distributors would place future orders with Alliance rather than Micron
⎻
If Micron receives a customer/distributor request for Fab-13 NOR, we will direct them to contact Alliance

Using Alliance provides more flexibility to the customers and our distributors
Benefit
Enables order taking of smaller quantity requests
Why
• Alliance can consolidate several small quantity requests and place
a larger demand order to Micron, avoiding what would have been
rejected orders by Micron
• Alliance will keep some stock on-hand for various MPNs, allowing
quick fulfillment for some orders
• Alliance will keep some stock of various MPNs past the June 2021
LTS date, enabling supply into CY22 and beyond which Micron
would not have been able to supply
Quicker fulfillment for new or upside orders

Additional products and supply will be transferred to Alliance Memory over the coming months
